1. Agreement to Terms

By accessing or using Code350's website, courses, tutoring services, consulting services, or any related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, then you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including students, parents/guardians of minor students, business clients, and any other individuals or entities.

2. Use of Service

2.1 Eligibility

  • You must be at least 13 years old to use the Service
  • If you are under 18, you must have parental or guardian consent
  • For tutoring services with students under 18, we encourage parents/guardians to be aware of session schedules and content
  • You must provide accurate, complete, and current registration information

2.2 Account Responsibilities

When you create an account with us, you are responsible for:

  • Maintaining the security of your account and password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Not sharing your account with others
  • Not creating multiple accounts for the same person

2.3 Acceptable Use

You agree NOT to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Harass, abuse, or harm others
  • Submit false or misleading information
  • Distribute viruses or harmful code
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service
  • Share or redistribute course content without permission
  • Use automated systems to access the Service
  • Resell or commercially exploit the Service

3. Course Content and Services

3.1 Course Access

  • Free Courses: Available to all registered users
  • Paid Courses: Available after payment is processed
  • Course Access Duration: Lifetime access unless otherwise specified
  • Updates: We may update course content without notice

3.2 Tutoring Services

For 1-on-1 tutoring services:

  • Sessions are conducted via video conference (Zoom or similar platform)
  • Sessions must be scheduled in advance through our booking system
  • Cancellations require 24-hour notice for full credit
  • No-shows forfeit the session
  • Sessions are not recorded by Code350 by default
  • For students under 18, we encourage parents/guardians to be aware of session schedules and content

3.3 Educational Purpose

The Service is provided for educational purposes only. Code350:

  • Does not guarantee employment or specific outcomes
  • Does not provide professional certifications
  • Is not an accredited educational institution
  • Certificates of completion have no official academic value

3.4 Consulting and Freelance Services

Code350 offers AI consulting, business consulting, and freelance development services. The following terms apply to all consulting and freelance engagements:

Scope of Work

  • All consulting and freelance projects are defined in separate written agreements or proposals
  • The scope, deliverables, timeline, and pricing will be outlined before work begins
  • Changes to scope require written agreement and may result in additional costs

Payment Terms

  • Projects under $5,000: 50% due upfront, 50% due upon completion
  • Projects $5,000 - $10,000: Payment split into 3 milestones (typically 40% / 30% / 30%)
  • Projects over $10,000: Custom milestone schedule defined in project agreement
  • Consulting sessions and initial consultations are paid in full upfront
  • All payments are non-refundable once work has begun, except as outlined in the Cancellation section

Intellectual Property

  • Client owns: All specific deliverables created for the project (websites, applications, custom features) upon final payment
  • Code350 retains: General techniques, reusable patterns, non-proprietary components, and the right to build similar solutions for other clients
  • Portfolio rights: Code350 may reference the project in portfolios and case studies (screenshots, general descriptions) without sharing confidential business information or proprietary code
  • Ownership of deliverables transfers only after all payments are received in full

Confidentiality

Both parties agree to keep confidential business information private, including pricing, business strategies, proprietary processes, and sensitive project details. This general confidentiality agreement does not replace formal Non-Disclosure Agreements (NDAs) when required for sensitive projects.

Cancellation and Termination

  • Either party may terminate an ongoing engagement with 14 days written notice
  • If client terminates: Client pays for all completed work and work in progress; deposits and milestone payments for completed work are non-refundable
  • If Code350 terminates: Client receives refund for any undelivered or incomplete work
  • Completed and approved milestones are non-refundable
  • Consulting sessions that have occurred are non-refundable

Revisions and Support

  • Revision rounds and support terms will be defined in the project agreement
  • Work outside the original scope requires a change order and additional payment
  • Post-project support or maintenance is available under separate agreement

4. Intellectual Property Rights

4.1 Code350 Content

All content provided through the Service, including but not limited to:

  • Course videos, materials, and documentation
  • Website design and graphics
  • Code examples and projects
  • Trademarks and logos

Are owned by Code350 or its licensors and protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

  • Access and view course content for personal learning
  • Download course materials for offline personal use
  • Use code examples in your own projects (with attribution where requested)

4.3 Restrictions

You may NOT:

  • Share, distribute, or resell course content
  • Create derivative works based on the Service
  • Remove copyright or proprietary notices
  • Use content for commercial purposes without permission
  • Record or screenshot tutoring sessions without consent

4.4 User Content

By submitting content to the Service (comments, code, projects), you:

  • Retain ownership of your content
  • Grant Code350 a license to use, display, and distribute your content
  • Confirm you have the right to share the content
  • Accept responsibility for your content

5. Payment Terms

5.1 Pricing

  • All prices are in US Dollars
  • Prices are subject to change with notice
  • Taxes may apply based on your location
  • Payment is due at time of purchase (for courses) or as defined in project agreements (for consulting)

5.2 Payment Processing

Payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store credit card information.

5.3 Refund Policy

7-Day Money Back Guarantee: We offer a 7-day refund period for course purchases. Refund requests must be made within 7 days of purchase and before completing more than 30% of the course content.

Refunds are NOT available for:

  • Tutoring sessions (once scheduled)
  • Courses after 7 days or 30% completion
  • Bundle purchases (partial refunds not available)
  • Consulting sessions that have occurred
  • Completed project milestones

6. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in the Privacy Policy.

7. Disclaimers and Limitations

7.1 "As Is" Service

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Guarantee of Results

Code350 does not guarantee:

  • Any specific learning outcomes
  • Employment or career advancement
  • Income levels or financial success
  • Compatibility with all devices or browsers
  • Uninterrupted or error-free service
  • Specific business results from consulting services

7.3 Limitation of Liability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE350 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL CODE350'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO CODE350 IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Code350. We have no control over, and assume no responsibility for:

  • Third-party website content or practices
  • External service availability or functionality
  • Products or services offered by third parties

9. Indemnification

You agree to defend, indemnify, and hold harmless Code350, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any third-party rights
  • Any content you submit to the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

10.2 Termination by Code350

We may terminate or suspend your account immediately, without prior notice, if:

  • You breach these Terms
  • We are required to by law
  • We discontinue the Service
  • Your conduct may harm other users or Code350

10.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • You lose access to course content and progress
  • No refunds will be provided for termination due to Terms violation
  • Provisions that should survive termination will remain in effect

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at our Contact Page.

11.2 Binding Arbitration

PLEASE READ CAREFULLY: You and Code350 agree that any dispute arising out of or related to these Terms or the Service shall be resolved through binding individual arbitration, except as provided below. This means you give up your right to sue in court or have a jury trial.

11.3 Exceptions to Arbitration

You and Code350 may bring suit in court only for:

  • Intellectual property disputes
  • Small claims court actions
  • Injunctive relief for Service misuse

11.4 No Class Actions

You may only resolve disputes with Code350 on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in DuPage County, Illinois.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will:

  • Update the "Last Updated" date at the top
  • Notify you via email or prominent website notice
  • Obtain consent for material changes as required by law

Your continued use after changes constitutes acceptance of the new Terms.

Code350 Workplace - AI Coding Platform Terms

The following terms apply specifically to Code350 Workplace, our collaborative AI-powered coding education platform. These terms supplement the general terms above.

14. Age Requirements & Parental Consent for Workplace

14.1 Age Verification

  • Minimum Age: Users must be at least 13 years old to create a Workplace account
  • Users Under 13: Strictly prohibited from creating accounts. Accounts discovered to belong to users under 13 will be immediately terminated
  • Date of Birth Required: All users must provide their date of birth during registration to enable appropriate safety measures
  • False Age Declaration: Providing a false date of birth is grounds for immediate account termination without refund

14.2 Parent Notification for Minors (Ages 13-17)

  • Users ages 13-17 must provide a parent or guardian email address during registration
  • Parents/guardians receive a notification email explaining our AI safety measures and content filtering
  • Parents/guardians may request account deletion or data export at any time by contacting us

15. AI Usage Terms

15.1 Acceptable Use of AI Features

AI assistance in Code350 Workplace is provided exclusively for coding education and problem-solving. Users agree to:

  • Use AI features only for legitimate educational and coding purposes
  • Not attempt to bypass, disable, or circumvent content filters or safety measures
  • Not use AI to generate harmful, illegal, offensive, or age-inappropriate content
  • Not use AI to harass, impersonate, or deceive others
  • Not share AI-generated content that violates these terms or applicable laws

15.2 AI Limitations & Disclaimers

  • AI responses are generated by third-party providers including Anthropic (Claude), OpenAI, and XAI (Grok)
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content
  • Users are solely responsible for reviewing, validating, and testing any AI-generated code before use
  • AI is not a replacement for human instruction, mentorship, or professional advice
  • AI will clearly identify itself and will never impersonate a human or claim to be a friend

Important Disclaimer

AI-generated code may contain errors, security vulnerabilities, or bugs. Always review and test code thoroughly before deploying to production environments. Code350 is not liable for any damages resulting from the use of AI-generated code.

15.3 AI Provider Requirements for Minors

In accordance with our AI providers' terms of service (Anthropic, OpenAI, XAI) and industry best practices for minors, the following restrictions apply to users ages 13-17:

  • Enhanced content filtering is automatically and permanently enabled
  • AI is restricted to coding education topics and will refuse requests outside this scope
  • AI will not discuss mature themes, explicit content, violence, illegal activities, weapons, drugs, or provide romantic/dating advice
  • Attempting to circumvent these safety measures may result in immediate account suspension
  • Parents/guardians may be notified if concerning behavior patterns are detected

16. Token System & Billing

16.1 Monthly Token Allocation

  • Monthly tokens are allocated based on your subscription tier
  • Tokens reset on your billing anniversary date each month
  • Unused monthly tokens do not roll over to the next billing period
  • Usage is subject to hourly rate limits based on your subscription tier

16.2 Purchased Token Packs

  • Purchased tokens never expire while your account remains active
  • Purchased tokens are non-refundable once consumed
  • Purchased tokens are only used after your monthly allocation is depleted
  • Token balances are non-transferable between accounts

16.3 Subscription Terms

  • Subscriptions auto-renew unless canceled before the renewal date
  • Subscription downgrades take effect at the start of the next billing period
  • No prorated refunds are provided for mid-cycle cancellations
  • Subscription upgrades take effect immediately with prorated billing

17. Content Moderation

17.1 Our Rights

Code350 reserves the right to:

  • Review AI conversations that are flagged by our automated moderation systems
  • Suspend or terminate accounts exhibiting harmful, dangerous, or policy-violating patterns
  • Report illegal activity to appropriate law enforcement authorities
  • Contact parents/guardians if concerning behavior is detected in minor accounts
  • Modify or remove content that violates these terms

17.2 User Obligations

  • Do not share personal information (home addresses, phone numbers, financial information, school names) in AI conversations
  • Report any AI responses that seem inappropriate, harmful, or policy-violating
  • Do not upload malicious code, malware, or content designed to exploit AI systems
  • For minors: Follow all school and parent/guardian guidelines regarding AI and technology usage

18. GitHub Integration

Code350 Workplace offers optional GitHub integration. By connecting your GitHub account:

  • You grant us permission to access repositories you explicitly connect to the platform
  • GitHub access tokens are encrypted using AES-256-GCM and stored securely
  • We only access repositories when you explicitly initiate an action (e.g., importing a project)
  • You can revoke GitHub access at any time through your account settings or GitHub's authorized applications page
  • Repository content may be shared with AI providers for code analysis and assistance

19. Preview Environments

Code350 Workplace may provide preview deployment environments powered by Fly.io:

  • Preview environments are provided "as-is" for development and testing purposes only
  • Preview URLs may be publicly accessible - do not deploy sensitive or production data
  • Preview environments may be terminated at any time without notice
  • We are not responsible for data loss or security issues in preview environments

20. Workplace-Specific Liability Limitations

AI & Content Filtering Limitations

While we implement industry-standard content filtering and safety measures, no automated system is perfect. Parents and guardians acknowledge and accept that:

  • AI content filtering may not catch all inappropriate content
  • AI responses may occasionally be inaccurate, unhelpful, or unexpected
  • Code350 is not liable for emotional distress or other damages resulting from AI interactions
  • Parental supervision is recommended for younger users

21. General Terms

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Code350 regarding the Service.

21.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

21.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

21.4 Assignment

You may not assign or transfer these Terms. Code350 may assign its rights to any of its affiliates or successors.
